Confidentiality Agreement

Brown Investment Properties, Inc. has available for study certain information concerning multifamily properties. As an “interested
party” you have expressed interest in the purchase of one or more of these properties. Brown Investment Properties, Inc. will
furnish property information materials to you in connection with discussions and negotiations concerning the possible purchase of
the Properties only on the condition that you agree to treat this information materials confidentially, as hereinafter provided.

Interested Parties and their Representatives agree that, without prior written consent from Brown Investment Properties, Inc., they
will not disclose to any person either the fact that discussions or negotiations are taking place concerning a possible purchase of
Property by Interested Parties and their Representatives or any of the terms, conditions, or other facts with respect to any such
possible purchase, including the status thereof. The term “person” as used in this Agreement shall be interpreted broadly and shall
include, without limitation, any corporation, company, partnership or individual other than the Permitted Parties (Permitted Parties
shall include employees & representatives of the Proposed Purchaser who needs access to the materials). Interested Parties and their Representatives agree that Brown Investment Properties, Inc. shall be entitled to equitable relief, including injunction, in the event of any breach of the provisions of this letter.

Interested Parties acknowledge and agree that, except as specifically permitted by the terms hereof, they will not use, directly or indirectly, any such Confidential Information for it or any other person or entity’s benefit. Interested Parties understand that neither Owner nor any of its Representatives have made or make any representations or warranty as to accuracy or completeness of the Confidential Information. Interested Parties agree not to contact property owners or the listing broker (if any), lender, the tenants, leasing brokers, or property management staff of the Properties in connection with their review of these property information materials. Any and all questions related to the property information materials or the Property must be directed solely to Brown Investment Properties, Inc.

This agreement shall be governed and construed in accordance with the laws of the State of North Carolina. This agreement may be
amended only by a written Agreement signed by both parties.
